Session Overview

I have a question regarding our board appointment process that I would like to get some legal and/or compliance guidance and insight. As written in our bylaws, we have a board of 7, 2-year terms, can serve up to 3 consecutive terms, with staggered term endings (e.g., 3 end their 2 year term this year, 3 end their 2 year term next year, etc. and one director who is seated as a result of serving with a particular organization that serves a 1 year term ). This is the first year where we have 3 directors ending their terms and all are eligible to be re-nominated and possibly re-appointed. There is mixed feeling within the board if those up for reappointment/nomination should recuse themselves from the entire process and/or just recuse themselves from conversations specifically regarding their individual status in the process. If 3 members are out of the entire process, that would leave the 4 remaining directors to make the appointments. Division between the board on how to handle the process. I know it is up to the direction of the board on how they determine their process, but we are looking for some outside guidance to provide to the board to make their ultimate decision.
